TAPP℠ Programs Terms of Service

\r\n\r\n

Effective: March 30, 2026

\r\n\r\n

These TAPP Programs Terms\r\nof Service (“TAPP Programs Terms of Service”) apply to “TAPP Programs”\r\nprovided to you by the Port Authority Trans-Hudson Corporation, its affiliates, including\r\nthe Port Authority of New York and New Jersey (the “Port Authority”),\r\nand subsidiaries (collectively, “PATH”). The term “TAPP\r\nPrograms” includes the following:

\r\n\r\n

a. the TAPP Programs\r\nwebsite and the TAPP Customer website (together with the TAPP Programs website\r\nshall be referred to collectively as the “Websites”);

\r\n\r\n

b. the TAPP Programs\r\nadministrative support services (“TAPP Programs Administrator”) and PATH\r\ncustomer support services (“PATH TAPP Customer Service”);

\r\n\r\n

c. TAPP fare payment\r\nservices and hardware, including TAPP fare payment readers, TAPP vending\r\nmachines, and other related technology (collectively, the “TAPP Fare Payment\r\nSystem”);

\r\n\r\n

d. “TAPP Program for\r\nEmployers” that provides the ability for “Employers” to distribute Transit\r\nCommuter Benefits (defined below) in accordance with IRS Code and Regulations\r\nto their employees (“Employee Program Members”); and

\r\n\r\n

e. “TAPP Program for\r\nNon-Employers” that provides the ability for “Non-Employers”\r\nto offset or reduce transit costs for Non-Employee\r\nrecipients (“Non-Employee Program Members”).

\r\n\r\n

“Program Members”\r\nare the individual passengers.

\r\n\r\n

By registering for\r\nand ordering or receiving benefits through TAPP Programs, Entities accept and\r\nagree to be bound by these TAPP Programs Terms of Service and other applicable PATH\r\npolicies, including the TAPP Terms of Service, the TAPP Privacy Policy, Port\r\nAuthority’s Freedom of Information Policy, PATH’s fare policies, and other\r\napplicable laws (collectively, the “Applicable Terms”). For\r\ninformation regarding current fares and fare policies related to the TAPP\r\nServices, visit: https://www.panynj.gov/path/en/fares.html.

PLEASE READ THESE\r\nTAPP PROGRAMS TERMS OF SERVICE CAREFULLY BEFORE YOU ACCESS OR USE TAPP\r\nPROGRAMS. YOUR USE OR ACCESS OF TAPP PROGRAMS CONSTITUTES ACCEPTANCE OF ALL\r\nTERMS AND CONDITIONS CONTAINED HEREIN, AS WELL AS THE APPLICABLE TERMS, AND YOU\r\nAGREE TO BE BOUND BY THESE TAPP PROGRAMS TERMS OF SERVICE AND APPLICABLE TERMS.\r\nIF YOU DO NOT WISH TO BE LEGALLY BOUND BY THESE TAPP PROGRAMS TERMS OF SERVICE\r\nAND APPLICABLE TERMS, THEN PLEASE DO NOT ACCESS OR USE TAPP PROGRAMS.

\r\n\r\n

1. \r\nYour\r\nAgreement to these TAPP Programs Terms of Service. These TAPP Programs\r\nTerms of Service set forth the terms and conditions under which you agree to\r\nuse TAPP Programs. For the avoidance of doubt, these TAPP Programs Terms of\r\nService apply to anyone that accesses or uses TAPP Programs (such users are\r\nreferred to herein throughout as “you”, “your”, and/or “Entity”).\r\nBy accessing or otherwise using TAPP Programs, you acknowledge that you have\r\nread these TAPP Programs Terms of Service and Applicable Terms and agree to be\r\nlegally bound by them. In agreeing to these TAPP Programs Terms of Service, you\r\nare agreeing on behalf of Your Entity. As such, you are agreeing that:

\r\n\r\n

a. you represent and are\r\nauthorized to act on behalf of, and bind, Your Entity;

\r\n\r\n

b. for the purposes of\r\nthese TAPP Programs Terms of Service, the term “you” means Your Entity on whose\r\nbehalf you are acting; and

\r\n\r\n

c. you agree to be bound\r\nby any and all Applicable Terms.

\r\n\r\n

PATH may also confirm your agreement to be\r\nbound by these TAPP Programs Terms of Service by asking you to click an “I\r\naccept” or similar button when you use certain portions of PATH’s TAPP Programs.

\r\n\r\n

2. \r\nTAPP\r\nPrograms.

\r\n\r\n

a. TAPP Program for Employers.\r\n

\r\n\r\n

\r\ni. The TAPP Program for\r\nEmployers allows Employers to provide tax-exempt, qualified transit commuter\r\nbenefits to qualified employees (“Transit Commuter Benefits”) in\r\naccordance and compliance with the Qualified Transportation Fringe Benefit\r\nProgram authorized by Internal Revenue Service (“IRS”) Code Section\r\n132(f). The TAPP Program for Employers allows Employers, their third-party\r\nadministrators, or their employees, to purchase stored value with pre-tax\r\ndollars to pay for eligible employee commuting expenses, as defined by Section\r\n132(f).

\r\n\r\n

\r\nii. \r\nParticipation\r\nin the TAPP Program for Employers requires the Employer or employee to fund TAPP\r\nPrograms by pre-paying for qualified Transit Commuter Benefits with pre-tax\r\ndollars through the TAPP Programs website. Pre-tax payments for TAPP Programs\r\ncan be funded by: (1) a direct employee benefit paid solely by the Employer, (2)\r\na pre-tax payroll deduction funded by the employee, or (3) a combination of the\r\ntwo. Employee Program Members must have an account into which the TAPP Program\r\nfunding is added (“Transit Account”) with an associated PATH-issued TAPP\r\ncontactless fare payment TAPP Card (“TAPP Card”). TAPP Program funding\r\nis added into the Transit Account in an amount up to the maximum value\r\npermitted under the IRS Code to pay for eligible Transit Commuter Benefits. Employee\r\nProgram Members will receive the Transit Commuter Benefits by the first of each\r\nmonth, provided that the order was properly placed by the cutoff date posted on\r\nthe TAPP Programs website.

\r\n\r\n

\r\niii. \r\nEmployers\r\ndistributing Transit Commuter Benefits certify that they are compliant with all\r\nlaws, regulations, rules, and guidance applicable to the Qualified\r\nTransportation Fringe Benefit Program authorized under IRS Code 26 USC §132(f).

\r\n\r\n

b. TAPP Program for Non-Employers. The TAPP Program for Non-Employers\r\nenables organizations to offset or reduce transit costs in whole or in part for\r\ntheir clients, students, volunteers, visitors, contractors, or any other\r\nnon-employee recipient authorized by the Non-Employer. Non-Employers may load multi-trip\r\nand time-based pass products and/or stored value into a Transit Account\r\nassociated with a TAPP Card or may purchase single ride, multi-trip, or time-based\r\npass products on non-reloadable PATH-issued TAPP limited-use contactless fare\r\npayment tickets (“TAPP Tickets”). A transit subsidy rendered by a\r\nNon-Employer to a Program Member is NOT a qualified transportation fringe\r\nbenefit as defined by the IRS Code; therefore, tax advantages are not\r\napplicable; however, the value of the transit subsidy may be considered as\r\ntaxable income to the Program Member.

\r\n\r\n

c. Registration. Transit Accounts and TAPP Cards may\r\nbe registered in the Program Member’s name or the Entity’s name. TAPP Cards\r\nthat are not registered may also be used; however, the Transit Account number associated\r\nwith the unregistered TAPP Card is required for funding the Transit Account.

\r\n\r\n

d. TAPP Fare Products. Information and details regarding\r\nstored value and fare products may be found on the TAPP Customer website. In\r\ngeneral, these fare products can be loaded into a Transit Account and represent\r\nprepaid fares on PATH. The fare products available may include, but are not\r\nlimited to, fare products available to the general public, and are subject to\r\nchange. The five types of fare products include:

\r\n\r\n

\r\ni. Stored Value – unrestricted,\r\npost-tax prepaid value that may be used to pay a fare or purchase a multi-trip\r\nor time-based pass product;

\r\n\r\n

\r\nii. Transit Commuter\r\nBenefits Stored Value – subsidized or pre-tax funds as allowed by IRS Code\r\nSection 132 that may be used to pay a fare or purchase a multi-trip or\r\ntime-based pass product;

\r\n\r\n

\r\niii. SingleRide Product –\r\nprepaid trip that may be used to pay a fare (only available through the TAPP\r\nProgram for Non-Employers);

\r\n\r\n

\r\niv. Multi-Trip Product –\r\nprepaid trips that may be used to pay a fare (only available through the TAPP\r\nProgram for Non-Employers); and

\r\n\r\n

\r\nv. Time-based Pass\r\nProduct – time-limited pass valid for use on PATH within the validity period of\r\nthe pass (only available through the TAPP Program for Non-Employers).

\r\n\r\n

3. \r\nTAPP\r\nProgram Accounts.

\r\n\r\n

a. Registration and Creation of a TAPP Program\r\nAccount. Use of\r\nTAPP Programs requires Entities to create a “TAPP Program Account” that must\r\nbe completed online by an authorized representative of the Entity. Upon PATH’s\r\nreceipt and acceptance of the requisite completed payment method forms, PATH\r\nwill assign the Entity a TAPP Program Account number, user ID, and a password.\r\nOnce registered, the Entity will be provided with instructions to access the\r\nTAPP Programs website and configure its account to process orders. By applying\r\nfor TAPP Programs, the Entity agrees that the Entity is responsible for\r\nmanaging the Entity’s TAPP Program on behalf of its Program Members. Through\r\nthe TAPP Programs website, the Entity can manage Program Members and benefits, set\r\nup payment methods, place orders for one-time or recurring benefits, and view\r\ninvoices and payment history. Orders will not be fulfilled until payment is received.\r\nThe Entity is responsible for updating its list of Program Members and associated\r\nbenefits on the TAPP Programs website. In addition, Entities are responsible for updating their Program\r\nMember list with any replacement Transit Account numbers. Failure to do so\r\ncould result in a Program Member not receiving the appropriate benefit amount.\r\nPATH is not responsible for errors/omissions based on lack of notification of\r\nreplacement Transit Account numbers.

\r\n\r\n

b. Program Member Access. Individual Program Members have the\r\noption to create a “TAPP Customer Account” that enables registered\r\nProgram Members to view their TAPP transaction history and balance(s) online,\r\nadd additional stored value, and convert stored value to multi-trip and\r\ntime-based pass products. A TAPP Customer Account is only available to the\r\nProgram Member who has completed the TAPP Customer Account registration process\r\nand created a TAPP Customer Account password. A Transit Account associated with\r\na TAPP Card can either be associated with a TAPP Customer Account or can be\r\nanonymous and not associated with a TAPP Customer Account. TAPP Tickets cannot\r\nbe registered. Non-Employers can also register Transit Accounts associated with\r\nTAPP Cards in the Non-Employer’s name. Program Members with registered and\r\nunregistered Transit Accounts can add additional stored value, convert stored\r\nvalue to multi-trip and time-based pass products, as well as view the account\r\nbalance at a TAPP vending machine or by calling PATH TAPP Customer Service. TAPP\r\nCards can be purchased through the TAPP Programs website or through other sales\r\nchannels for TAPP Cards.

\r\n\r\n

4. \r\nFunding\r\nof Transit Benefits.

\r\n\r\n

a. Funding Limits.

\r\n\r\n

\r\ni. For Employer Entities:\r\nBy registering for the TAPP Program, the Employer agrees to fund Transit Commuter\r\nBenefits in compliance with the maximum pre-tax funding limits imposed by the\r\nIRS for the Qualified Transportation Fringe Benefit Program (defined in 26 USC §132(f)(3)).\r\nThe Employer also agrees to comply with TAPP Programs maximum funding limits and\r\nTransit Account balance limits as imposed by PATH, which may change from time\r\nto time.

\r\n\r\n

\r\nii. For Non-Employer\r\nEntities: The Non-Employer agrees to comply with TAPP Program’s maximum funding\r\nlimits and Transit Account balance limits as imposed by PATH, which may change\r\nfrom time to time.

\r\n\r\n

b. Payment.\r\n

\r\n\r\n

\r\ni. PATH will provide an\r\ninvoice to the Entity. The funds shall be due and payable in advance of the\r\navailability of the applicable transit benefits.

\r\n\r\n

\r\nii. Entities shall elect\r\nto pay by either (1) Automated Clearing House (ACH) electronically debited from\r\na bank account via electronic funds transfer or (2) the Entity’s credit/debit\r\ncard. PATH reserves the ability to restrict the funding sources available to Entities.\r\n

\r\n\r\n

\r\niii. PATH reserves the\r\nright to require payment through ACH transfer for any transaction in excess of\r\n$3,000. Payment by ACH transfer constitutes your agreement to the terms and\r\nconditions of the ACH Agreement provided to you upon election of payment\r\nthrough ACH transfer, which includes but is not limited to, your authorization\r\nfor PATH to debit or withdraw funds from the account provided.

\r\n\r\n

\r\niv. For stored value or\r\nfare products that cannot be loaded into a Transit Account, a credit toward a\r\nfuture invoice\r\nwill be issued to the Entity in an amount equal to the amount unable to be\r\nloaded.

\r\n\r\n

\r\nv. PATH reserves the\r\nright to terminate an Entity’s participation in TAPP Programs in the event of\r\nnon-payment.

\r\n\r\n

c. Payment Deadlines.

\r\n\r\n

\r\ni. For Employer\r\nEntities: As a prerequisite to processing Transit Commuter Benefit purchases\r\nfor the upcoming month, payment of each order must be made in full by the first\r\nbusiness day following the Employer’s designated funding cutoff date prior to\r\nthe benefit month to which the Transit Commuter Benefits relate.

\r\n\r\n

\r\nii. For Non-Employer\r\nEntities: As a prerequisite to processing purchases, payment of each order must\r\nmade in full by the first business day following the Non-Employer’s\r\ndesignated order deadline. Once the payment is cleared and the order is\r\napproved by the TAPP Programs Administrator, PATH will initiate fulfillment of\r\nthe order.

\r\n\r\n

d. Fees. In accordance with Section 6\r\nentitled “TAPP Program Fees”, PATH reserves the right to assess fees to defray\r\ncosts incurred by PATH to administer TAPP Programs. You authorize and agree to\r\npay any and all fees and penalties for any authorized transaction that cannot\r\nbe processed, is returned, or is late.

\r\n\r\n

e. No Refunds. Funds and fare products cannot be\r\nrefunded once an election is made. An election is considered to have been made\r\nonce the pre-tax Transit Commuter Benefits (for TAPP Program for Employers) or stored\r\nvalue and fare products (for TAPP Program for Non-Employers) are loaded into\r\nthe Program Member’s Transit Account. PATH will NOT refund unused funds or\r\nproducts that are allocated to a Transit Account to any Entity. At PATH’s discretion, funds allocated\r\nfor Transit Accounts that cannot receive stored value or product loads may be\r\nissued as a credit on future invoices in lieu of a refund.

\r\n\r\n

5. \r\nBulk\r\nOrders of TAPP Tickets.

\r\n\r\n

a. A Non-Employer may purchase bulk orders of TAPP Tickets\r\nwith pre-loaded stored value or single ride, multi-trip, or time-based pass products\r\nfor distribution to Program Members. In special instances, PATH may issue TAPP\r\nCards upon request. Minimum order requirements may apply. PATH reserves the\r\nright to select which fare products to issue through TAPP Programs. The TAPP Tickets\r\nare not registered to the Program Member.

\r\n\r\n

b. Payment and invoicing\r\nfor bulk orders of TAPP Tickets are subject to subsections (b) – (e) of Section\r\n4 entitled “Funding of Transit Benefits”.

\r\n\r\n

c. At PATH’s discretion,\r\nEmployers may purchase bulk orders of TAPP Tickets using non-pre-taxed funds.\r\nEmployers may contact TAPP Programs Administrator for assistance.

\r\n\r\n

d. Bulk fare media\r\norders are non-refundable. At PATH’s discretion, refunds may be issued as a credit on future\r\ninvoices.

\r\n\r\n

6. \r\nTAPP\r\nProgram Fees. PATH reserves the right to:

\r\n\r\n

a. assess fees and\r\npenalties, including but not limited to deduction of stored value or fare\r\nproducts from a Transit Account, for any authorized transaction that cannot be\r\nprocessed, is returned or is late;

\r\n\r\n

b. assess fees to defray\r\ncosts incurred by PATH to administer TAPP Programs;

\r\n\r\n

c. assess fare media\r\nfees for TAPP Cards and non-reloadable TAPP Tickets as well as shipping fees;

\r\n\r\n

d. impose fees for\r\nreplacement media and for balance restoration;

\r\n\r\n

e. restrict fees that\r\ncan be passed through to Program Members; and

\r\n\r\n

f. waive any of the\r\nabove fees.

\r\n\r\n

7. \r\nConsent\r\nto Receive Electronic Communications.

\r\n\r\n

a. By using\r\nTAPP Programs, you agree to receive certain electronic communications from\r\nPATH, whether through the Websites, email, text or SMS message, etc. You agree\r\nthat any notice, agreement, disclosure, or other communication that PATH sends\r\nyou electronically will satisfy any legal communication requirements, including\r\nthat such communications be in writing. All such electronic communications\r\nbetween you and PATH may be recorded or stored and will be treated as User\r\nContent (as defined in Section 15 entitled “User Content”).

\r\n\r\n

b. Communications\r\nsent electronically to you will be effective when the communication is:

\r\n\r\n

\r\ni. transmitted by PATH to\r\nyou at your email or other electronic address last known on file\r\nby PATH; or

\r\n\r\n

\r\nii. posted on any of the\r\nWebsites and a communication of such posting is transmitted by PATH to you at\r\nyour email or other electronic address last known on file by PATH.

\r\n\r\n

c. It is\r\nyour responsibility to provide PATH with an accurate and complete e-mail\r\naddress and other contact information, and to maintain and update promptly any\r\nchanges in this information. You can update your contact information anytime by logging\r\ninto your TAPP Program Account.

\r\n\r\n

8. Inactive TAPP Program\r\nAccounts.\r\nEntities\r\nherein acknowledge and agree that PATH may administratively terminate any TAPP\r\nProgram Account that is inactive for a period of thirteen (13) consecutive\r\nmonths, such inactivity period counted from the first day of the month\r\nfollowing the last transaction. If a TAPP Program Account remains inactive for\r\nan additional twelve (12) months following administrative termination, any\r\nunused credits up to the amount of $1,000 will be forfeited to PATH without\r\nfurther notice or time period. If the amount of unused credit equals $1,001 or\r\nmore, the Entity will receive written electronic notice of potential forfeiture\r\non the date on which the account is administratively terminated, sent to the\r\nlast email address on file, if any. If an email attempt is unsuccessful or no\r\nresponse to a successful email is received within twelve (12) months after\r\ntransmission of such notice, Entities herein acknowledge and agree that any\r\nunused TAPP Program credits shall be forfeited to PATH. To reactivate a TAPP\r\nProgram Account after administrative termination, the Entity must contact a\r\nTAPP Program Administrator. Reactivation of a TAPP Program Account is at PATH’s\r\ndiscretion. Unused credits forfeited to PATH for inactivity cannot be returned\r\nregardless of account reactivation.

\r\n\r\n

9. Data Access. Entities will not\r\nhave access to trip history or Transit Account balance(s) of their Program\r\nMembers. This information is only available through the TAPP Customer Account\r\nand is not available through the TAPP Program Account.

\r\n\r\n

10. Auditing. The Entity consents\r\nto permit PATH, during reasonable hours, to inspect and audit all records and\r\naccounts related to the handling of TAPP Programs.

\r\n\r\n

11. Financial Review. The Entity acknowledges\r\nthat use of TAPP Programs may be subject to a credit check and/or financial\r\nreview. The Entity consents to PATH obtaining a credit check at any time and\r\nfrom time to time during the Entity’s use of TAPP Programs. Any information\r\ndiscovered in the credit check could result in the termination of the Entity’s\r\nparticipation in TAPP Programs. The Entity may be responsible for all costs\r\nassociated with an Entity’s credit check or financial review.

\r\n\r\n

12. \r\nConfidentiality;\r\nNo Publicity.

\r\n\r\n

a. \r\nThe term “Confidential Information”\r\nmeans all information an Entity accesses or receives from PATH pursuant to this\r\nAgreement (including its features and functions), whether oral or in writing\r\n(including electronic transmission) concerning PATH’s (and its affiliates')\r\nbusiness, technology, finances, services, security, plans, methods, research\r\nand development, prototypes, software, books and records, and other similar\r\ninformation and materials: (i) that is designated as “Confidential” or\r\n"Proprietary” by or on behalf of PATH, or (ii) that by the nature of the\r\ncircumstances surrounding disclosure, or the information itself, should be\r\ntreated as confidential. The Entity shall use at least the same degree of care\r\nin safeguarding Confidential Information as the Entity uses in safeguarding the\r\nEntity’s own Confidential Information, but the Entity shall not use less than\r\nreasonable care and diligence. The Entity may disclose Confidential Information\r\nin the event that a subpoena, discovery request, court order, or any other type\r\nof request or requirement of a governmental body (with requisite jurisdiction)\r\nor other applicable law requires that such Confidential Information be produced\r\nor disclosed, provided that the Entity (unless expressly prohibited by the\r\ngovernmental body) provides PATH notice of such requirement and cooperates with\r\nPATH (or its applicable affiliates) in seeking a protective order or other\r\napplicable relief. PATH’s disclosure of any information pursuant to the Port\r\nAuthority’s Freedom of Information Policy, shall not impact Entity’s\r\nconfidentiality obligations set out herein.

\r\n\r\n

b. \r\nEntities shall not issue or release, nor permit to be issued or\r\nreleased, any announcement, statement, press release, or other publicity or\r\nmarketing materials which refer to PATH or TAPP Programs or to the fact that\r\ngoods or services have been, are being or will be provided to it and/or that\r\nservices have been, are being or will be performed for it in connection with\r\nthis TAPP Programs Terms of Service, or otherwise use the Port Authority’s\r\ntrademarks, service marks, trade names, logos, symbols, or brand names, in each\r\ncase, without the prior written consent of the Port Authority. Such approval\r\nmay be withheld if for any reason the Port Authority believes that the\r\npublication of such information would be harmful to the public interest or is\r\nin any way undesirable.

\r\n\r\n

13. Intellectual Property. The term “Intellectual\r\nProperty Rights” means any rights (whether owned or licensed, by either PATH\r\nor Your Entity) existing now or in the future under patent law, copyright law,\r\ntrademark law, data and database protection law, trade secret law, and any and\r\nall similar proprietary rights. The term “Intellectual Property Rights” means\r\nthose rights as they exist as of the Effective Date of these TAPP Programs Terms\r\nof Service, and all such rights subsequently acquired. As between you and PATH,\r\nall information, software, artwork, text, video, audio, pictures, logos, and\r\nother content available on or through TAPP Programs (except for User Content as\r\ndefined in Section 15 entitled “User Content”), including all associated Intellectual\r\nProperty Rights (collectively, the “TAPP Programs Content”), is the\r\nproperty of PATH or its licensors, is protected by copyright and other\r\nintellectual property laws, or is included based on principles of “fair use”.\r\nPATH and its licensors retain all rights with respect to TAPP Programs Content\r\nexcept those expressly granted to you in Section 14 entitled “Limited Grant of\r\nRights to You”. Port Authority’s and PATH’s names and logos, the TAPP name and\r\nlogo, “Total Access PATH Payment”, and other trademarks, service marks, and\r\nlogos used by the Port Authority or PATH, and any proprietary product or\r\nservice names contained in the Websites are protected by copyright or are\r\ntrademarks of the Port Authority or PATH and may not be copied, imitated or\r\nused, in whole or in part, without PATH’s prior written permission. Third-party\r\ntrademarks that appear in connection with TAPP Programs are the property of\r\ntheir respective owners. You agree not to duplicate, publish, display,\r\ndistribute, modify, or create derivative works from the TAPP Programs Content,\r\nor other material displayed in connection with TAPP Programs, without the\r\nexpress written permission of PATH.

\r\n\r\n

14. \r\nLimited\r\nGrant of Rights to You. Provided that you comply with these TAPP Programs\r\nTerms of Service, PATH grants you the limited right to access TAPP Programs in\r\norder to:\r\n

\r\n\r\n

a. \r\nlearn more about TAPP Programs and PATH;

\r\n\r\n

b. \r\ncreate a TAPP Program Account;

\r\n\r\n

c. \r\nregister for email or text notiﬁcations and alerts and other\r\nmaterials PATH may make available from time to time;

\r\n\r\n

d. \r\nsubmit inquiries and User Content to PATH;

\r\n\r\n

e. \r\nparticipate in TAPP Programs and receive those services that PATH makes\r\navailable to you;

\r\n\r\n

f. \r\naccess other information that PATH makes available through TAPP Programs;\r\nand

\r\n\r\n

g. \r\ndownload and print pages from the Websites, provided that:

\r\n\r\n

\r\ni. you, and anyone with\r\nwhom you share the printouts, use the printouts for your personal use, and

\r\n\r\n

\r\nii. you do not alter any\r\ncopyright, trademark, or other proprietary notices as they appear on the\r\nprintouts

\r\n\r\n

The above subsections (a) - (g) are collectively\r\nreferred to herein as the “Permitted Uses”.

\r\n\r\n

Apart from the Permitted Uses, you shall not\r\nuse copy, modify, distribute, sell, duplicate, create derivative works, access\r\nor otherwise use the TAPP Programs Content, or reverse engineer or attempt to\r\nextract the source code of certain TAPP software. This grant of rights in the\r\nPermitted Uses is for the sole purpose of your enjoying TAPP Programs and is\r\nrevocable at any time by PATH for actual or suspected violation of these TAPP\r\nPrograms Terms of Service, the TAPP Terms of Service, or the TAPP Privacy\r\nPolicy.

\r\n\r\n

15. \r\nUser\r\nContent.

\r\n\r\n

a. PATH Rights in User Content. Your feedback and participation are\r\nimportant to PATH. With respect to any content you submit to PATH or otherwise\r\nmake available for public posting (including through social media channels),\r\nsuch as comments, suggestions, pictures, videos, and other content\r\n(collectively, “User Content”), you grant PATH a non-exclusive,\r\nperpetual, worldwide, royalty-free, transferable license to copy, modify,\r\ndistribute, publicly display, perform, and otherwise use the User Content in\r\nany manner and in any location, channel, or medium (collectively, the “Usage\r\nRights”), all without compensation or attribution to you and for so long as\r\nPATH deems warranted. In addition, you authorize PATH to grant some or all of\r\nthe Usage Rights to any third party.

\r\n\r\n

b. Permission for User Content. By providing User Content, you\r\nrepresent and warrant that you own such User Content (including any copyright\r\nand other intellectual property rights therein), or that you have obtained\r\nsufficient authority and right in and to the User Content in order to provide\r\nthe Usage Rights. For example, by sending PATH a testimonial of your experience\r\nwith the PATH transportation network along with a photo of that experience, you\r\nrepresent and warrant to PATH that you have obtained the necessary permission\r\nfrom anyone appearing in the photograph to grant PATH the Usage Rights.

\r\n\r\n

c. User Content that Includes Personal\r\nInformation. If\r\nyou provide User Content for public posting or otherwise post User Content via\r\nTAPP Programs, then PATH will treat such User Content as non-confidential and\r\nnon-proprietary to you. User Content that you provide may, once published, be\r\npublicly available to anyone. Although PATH may review User Content prior to\r\nusing it, PATH makes no representations or warranties regarding any User\r\nContent or PATH’s review of such User Content. In addition, any Personal\r\nInformation (as defined in the TAPP Privacy Policy) that is included in User\r\nContent may be posted on the Websites or otherwise used and may be made\r\npublicly available. For example, you may include your name, mailing address,\r\nand email address in one of PATH’s social media channels. This information will\r\nbe publicly available. As such, please use discretion when including Personal\r\nInformation and other details in User Content that you provide to PATH.

\r\n\r\n

d. Right to Decline User Content. PATH reserves the right to refuse to\r\nuse (or to disable or remove) User Content that PATH concludes, in PATH’s sole\r\ndiscretion, violates these TAPP Programs Terms of Service, the TAPP Terms of\r\nService, or the TAPP Privacy Policy, or is incompatible with the purposes of\r\nTAPP Programs.

\r\n\r\n

e. Freedom of Information Policy. The Port Authority and PATH respect\r\nthe privacy of PATH’s customers. Personal Information obtained in connection\r\nwith TAPP Programs, the use of credit or debit cards, TAPP Cards, TAPP Tickets,\r\nor the Websites is governed by the TAPP Privacy Policy and will not be\r\ndisclosed to third parties without your consent, except as required by law or legal\r\nprocess including, but not limited to, a court order, or the Port Authority's\r\nFreedom of Information Policy. TAPP Programs and the information collected in\r\nconnection therewith may be administered, operated, and maintained by the Port\r\nAuthority, PATH, their contractors, subcontractors and agents, and their\r\nrespective employees. The Port Authority's Freedom of Information Policy can be\r\nfound at: https://www.panynj.gov/corporate/en/public-record-access.html.

\r\n\r\n

16. \r\nProhibited\r\nConduct. As a condition to\r\nyour use of TAPP Programs, you agree not to use, allow others to use, or assist\r\nany other person or entity to use TAPP Programs if such use constitutes “Prohibited\r\nConduct”, which shall include, but not be limited to, use that:

\r\n\r\n

a. violates the Rules\r\nand Regulations of the Port Authority Trans-Hudson System, which may be found\r\nonline at https://www.panynj.gov/path/en/rider-info.html;

\r\n\r\n

b. violates, infringes,\r\nor misappropriates another person's intellectual property rights; or

\r\n\r\n

c. violates applicable\r\nlaw.

\r\n\r\n

17. Overpayments and\r\nRefunds. Any request for\r\noverpayment reconciliation or refund must be submitted by you to TAPP Programs\r\nAdministrator using one of the methods set out in Section 29 entitled “How to\r\nContact TAPP Programs Administrator”. In the event of overpayment by an Entity,\r\nPATH may issue a credit equal to the amount overpaid toward a future invoice,\r\nat PATH’s discretion. PATH will NOT refund unused funds or products that have\r\nbeen allocated to a Transit Account. Bulk fare media orders are non-refundable. At\r\nPATH’s discretion, refunds may be issued as a credit on future invoices.

\r\n\r\n

18. Lost, Stolen, or\r\nDamaged TAPP Card and TAPP Ticket Linked to a TAPP Program Account. It is important to\r\nreport any lost, stolen, or damaged TAPP Cards or TAPP Tickets to PATH. The Program\r\nMember shall refer to the TAPP Terms of Service for reporting lost, stolen, or\r\ndamaged cards. The TAPP Card or TAPP Ticket may continue to be charged for transactions\r\nmade using the lost, stolen or damaged TAPP Card or TAPP Ticket until the\r\nProgram Member notifies PATH that the card is lost, stolen, or damaged.

\r\n\r\n

19. \r\nThird-Party\r\nSites and Platforms.

\r\n\r\n

a. Third-Party Materials and Websites. The Websites may contain links to\r\nwebsites, applications, social media platforms, search engines, or other\r\nproducts or services operated by third parties (the “Third-Party Services”).\r\nFor example, many mobile apps that the Websites contains are developed and\r\noffered by third parties. PATH is not responsible for, and does not endorse,\r\nany Third-Party Services or content available through any Third-Party Services,\r\nnor does PATH warrant that Third-Party Services will be free of computer\r\nviruses or other harmful code that can impact your computer or other web-access\r\ndevice. If you access any Third-Party Service through the Websites, please be\r\naware that you are doing so at your own risk. You are encouraged to review any\r\nThird-Party Service providers’ terms of service and privacy policies. The Third-Party\r\nServices’ applicable terms, and not these TAPP Programs Terms of Service, the\r\nTAPP Terms of Service, or the TAPP Privacy Policy, are applicable to your use\r\nof Third-Party Services.

\r\n\r\n

b. Third-Party Platforms. The Websites may integrate with\r\nthird-party platforms, such as Facebook and Google (each, a “Third-Party\r\nPlatform”). If you sign in to the Websites through a Third-Party Platform,\r\nthen you authorize PATH to collect, store, and use any information that you have\r\nagreed would be provided to the Third-Party Platform(s) by PATH, such as your\r\nname, profile picture, unique identifier, and email address. When you use a\r\nThird-Party Platform to interact with the Websites, you acknowledge and agree\r\nthat the Third-Party Platform may also have access to information about you and\r\nyour use of the Websites. PATH does not own any Third-Party Platform(s) and\r\ndoes not assume any responsibility or liability for any content, opinions, or\r\nmaterial available on or through the Third-Party Platforms or for the\r\ninformation security and privacy practices of the Third-Party Platform(s). Your\r\nuse of any Third-Party Platform(s) is at your own risk.

\r\n\r\n

20. Disclaimer of\r\nEndorsements; Information Accuracy; Disclaimer of Tax Advice. The information\r\nmade available or otherwise accessed through TAPP Programs (including, but not\r\nlimited to, User Content), is made without any endorsement of any kind by PATH.\r\nIn addition, while PATH may review (and in many cases provide) information via PATH’s\r\nTAPP Programs, PATH does not represent or warrant that any such information is\r\naccurate or timely. None of the information contained herein is intended to\r\nconfer tax advice to any Entities or any Program Members in TAPP Programs. All\r\nEntities and Program Members are encouraged to consult a tax professional for guidance\r\nand interpretation of IRS laws and regulations.

\r\n\r\n

21. WARRANTY DISCLAIMER. TAPP PROGRAMS AND\r\nCONTENT MADE AVAILABLE THEREFROM ARE PROVIDED “AS IS”, “AS AVAILABLE”, AND\r\nWITHOUT WARRANTY OF ANY KIND WHATSOEVER. YOU USE TAPP PROGRAMS AND CONTENT MADE\r\nAVAILABLE THEREFROM AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW,\r\nPATH AND ITS LICENSORS DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS,\r\nIMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF\r\nTITLE, QUALITY, PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,\r\nACCURACY, AND NON-INFRINGEMENT, AS WELL AS WARRANTIES IMPLIED FROM A COURSE OF\r\nDEALING OR COURSE OF PERFORMANCE. LIMITATION OF\r\nLIABILITY.\r\nNEITHER THE PORT AUTHORITY, PATH, NOR ANY OF THEIR AFFILIATES, LICENSORS,\r\nCLIENTS, SUPPLIERS, ADVERTISERS OR SPONSORS, NOR ANY OF THEIR DIRECTORS,\r\nOFFICERS, EMPLOYEES, CONSULTANTS, AGENTS, OR OTHER REPRESENTATIVES (COLLECTIVELY,\r\nTHE “PATH RELEASEES”), ARE OR WILL BE RESPONSIBLE OR LIABLE TO YOU OR TO\r\nANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL,\r\nEXEMPLARY, PUNITIVE OR OTHER DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES\r\nFOR LOSS OF BUSINESS, LOSS OF DATA, OR LOST PROFITS), UNDER ANY THEORY OF\r\nCONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY ARISING OUT OF OR\r\nRELATING IN ANY WAY TO THE TAPP PROGRAM AND/OR MATERIALS CONTAINED ON TAPP PROGRAMS,\r\nTHIRD-PARTY PLATFORMS, THIRD-PARTY SERVICES, OR ANY PRODUCTS OR SERVICES\r\nPURCHASED THROUGH TAPP PROGRAMS. WITHOUT LIMITING THE FOREGOING, EXCEPTING ONLY\r\nDAMAGES CAUSED BY THE GROSS negligence OF THE PATH\r\nRELEASEES, IN NO EVENT SHALL THE PATH RELEASEES' AGGREGATE LIABILITY TO YOU FOR\r\nANY LOSS, DAMAGE, OR CLAIM RELATED TO OR ARISING OUT OF TAPP PROGRAMS (INCLUDING\r\nYOUR USE OF THE SAME) EXCEED ONE HUNDRED DOLLARS ($100.00).

23. Indemnification. You agree to\r\nindemnify, defend, and hold PATH and the PATH Releasees harmless from and\r\nagainst any and all claims, damages, losses, costs (including reasonable\r\nattorneys’ fees), other expenses or liability relating to, arising directly or\r\nindirectly out of or from: (i) your breach of these TAPP Programs Terms of\r\nService; (ii) any allegation that User Content infringes or otherwise violates\r\na third-party’s intellectual property rights or other rights; and (iii) your\r\naccess to, or use of, TAPP Programs.

\r\n\r\n

24. Modifications to TAPP\r\nPrograms and/or TAPP Programs Terms of Service. PATH expressly\r\nreserves the right to modify or discontinue any part of TAPP Programs, for any\r\nor no reason, without notice, and without liability to you. PATH also reserves\r\nthe right to block you from accessing TAPP Programs by using any technology\r\navailable, such as blocking certain IP addresses or device numbers. PATH also\r\nreserves the right to modify these TAPP Programs Terms of Service from time to\r\ntime. PATH may communicate these changes to you by posting of the updated TAPP\r\nPrograms Terms of Service via the TAPP Programs website or notifying you via\r\nemail or other methods. Any changes to these TAPP Programs Terms of Service\r\nwill be posted on the TAPP Programs website at least thirty (30) days before\r\nthey are to become effective. Such modified terms supersede any prior versions\r\nor collateral understanding, verbal or written, that you may have received\r\nrelative to the TAPP Programs Terms of Service, TAPP Terms of Service, or TAPP Privacy\r\nPolicy. Regardless of whether PATH has provided you with notice, your\r\nsubsequent acceptance of these TAPP Programs Terms of Service pursuant to\r\nSection 1 entitled “Your Agreement to these TAPP Programs Terms of Service”\r\nconstitutes your agreement to be bound by the TAPP Programs Terms of Service,\r\nas updated.

\r\n\r\n

25. Governing Law; Venue. These TAPP Programs\r\nTerms of Service and the rights and obligations belonging to you and PATH,\r\nshall be construed and enforced in all respects in accordance with the laws of\r\nthe State of New York, without regard to any jurisdiction’s conﬂict of\r\nrules, laws or doctrines. Both you and PATH submit to the personal jurisdiction\r\nof, and venue in, the New York Supreme Court for the County of New York and/or\r\nthe United States District Court for the Southern District of New York. You and\r\nPATH further agree that any cause of action at law or equity arising under\r\nthese TAPP Programs Terms of Service or relating to TAPP Programs shall be\r\ndetermined under the laws of the State of New York, and further, any such\r\naction shall be brought in the courts as referenced above.

\r\n\r\n

26. Severability; Waiver;\r\nAssignment.\r\nThe invalidity of any term(s) of these TAPP Programs Terms of Service shall not\r\naffect any other term(s) of these TAPP Programs Terms of Service, which shall\r\nremain in full force and effect. No failure or delay by PATH in exercising any\r\nright, power, or privilege hereunder shall operate as a waiver thereof, nor\r\nshall any single or partial exercise thereof preclude any other or further\r\nexercise thereof or the exercise of any right, power, or privilege hereunder.\r\nThese TAPP Programs Terms of Service are personal to you. You may not assign\r\nthese TAPP Programs Terms of Service or any rights and licenses in these TAPP\r\nPrograms Terms of Service to another party. These TAPP Programs Terms of\r\nService may be assigned by PATH without restriction. TAPP Program Accounts and\r\nany rights associated therewith may not be assigned to the Entity’s successors\r\nand assignees without completion of an application by the successor or assignee\r\nand written approval thereof by PATH.

\r\n\r\n

27. \r\nSurvival. Any terms that by\r\ntheir nature are intended to survive shall remain in effect and survive the\r\ntermination or expiration of the TAPP Programs Terms of Service including,\r\nwithout limitation:\r\n

b. Section 12\r\n(Confidentiality; No Publicity);

\r\n\r\n

c. Section 13 (Intellectual\r\nProperty);

\r\n\r\n

e. Section 15 (User\r\nContent);

\r\n\r\n

f. Section 21 (Warranty\r\nDisclaimer);

\r\n\r\n

g. Section 22 (Limitation\r\nof Liability);

\r\n\r\n

h. Section 23 (Indemnification);\r\n

\r\n\r\n

i. Section 25 (Governing\r\nLaw; Venue);

\r\n\r\n

j. Section 26 (Severability;\r\nWaiver; Assignment) and

\r\n\r\n

k. Section 36 (Entire\r\nAgreement; Precedence).

28. Headings. The\r\nheadings of these TAPP\r\nPrograms Terms of Service are for convenience or\r\nreference only and in no way define, limit, or describe the scope of intent or\r\nin any way affect these TAPP Programs Terms of Service.

\r\n\r\n

\r\n\r\n

Please\r\nbe aware that your call with the TAPP Programs Administrator may be recorded in\r\naccordance with the TAPP Privacy Policy.

\r\n\r\n

30. Monitoring Use. You agree that PATH\r\nhas the right to monitor any activity and content with TAPP Programs. PATH may\r\nalso investigate any reported violation of these TAPP Programs Terms of Service\r\nor complaints relating to TAPP Programs and may take any action that PATH\r\nbelieves is appropriate including, but not limited to, removing materials from\r\nTAPP Programs or suspending/terminating your access to the TAPP Programs\r\nwebsite.

\r\n\r\n

31. Disputes. You hereby\r\nauthorize the Port Authority or PATH to decide in the first instance every\r\nquestion or dispute arising from, under, in connection with, or related to\r\nthese TAPP Programs Terms of Service, including, without limitation, the\r\nimposition of fares, fees, or other charges incurred, applied, or stated for\r\nthe use or misuse of your TAPP Program Account. All disputes must be submitted\r\nin writing to PATH using one of the methods set out in Section 29 entitled “How\r\nto Contact TAPP Programs Administrator” within sixty (60) days after\r\nnotice to you that a fee or other charge has been made. You agree that mailing\r\nor emailing to an address that you have provided to the Port Authority or PATH\r\nconstitutes notice to you of the fares, fees, or other charges contained\r\ntherein and of any determination by the Port Authority or PATH in connection\r\nwith your dispute. You hereby acknowledge that any claim, action, or proceeding\r\narising from, under, in connection with, or in any way related to these TAPP Programs\r\nTerms of Service or your use of TAPP Programs for the payment of fares,\r\nincluding the imposition of fares, fees, or other charges incurred, applied, or\r\nstated for the use or misuse of any TAPP Cards or TAPP Tickets, brought against\r\nthe Port Authority or PATH is subject to the laws of the State of New York\r\ngoverning suits against the Port Authority (McKinney’s Unconsolidated Laws,\r\nSections 7101 through 7136). You agree to pay all costs, including attorney’s\r\nfees, incurred by the Port Authority and PATH to collect any monies due under\r\nthe terms of these TAPP Programs Terms of Service.

\r\n\r\n

32. \r\nTranslations. The TAPP Programs\r\nwebsite includes functionality that translates the Websites, TAPP Programs Terms\r\nof Service, TAPP Terms of Service, and TAPP Privacy Policy into languages other\r\nthan English (collectively, the “Translations”). Any communications sent\r\nby PATH to you shall be sent in English. You acknowledge and agree that the\r\nTranslations are being provided to you as a convenience via automated\r\nprocesses, and PATH expressly disclaims the accuracy and completeness of any\r\nTranslations and otherwise disclaims all express or implied warranties related\r\nto the Translations.

\r\n\r\n

33. Supplemental or\r\nDifferent Terms. Certain portions of TAPP Programs may be subject to\r\nadditional or different terms and conditions. PATH will notify you if those\r\nportions of TAPP Programs are subject to terms and conditions that differ from\r\nthese TAPP Programs Terms of Service, and you will have the opportunity to\r\ndecline to participate in those portions of TAPP Programs if you do not agree\r\nwith the differing terms and conditions.

\r\n\r\n

34. Duration of Rights. The licenses that PATH\r\ngrants to you pursuant to these TAPP Programs Terms of Service will continue\r\nuntil, and terminate upon the earliest of: (i) PATH’s cessation of support for,\r\nor offering of, TAPP Programs; (ii) your failure to comply with these TAPP Programs\r\nTerms of Service; and (iii) PATH’s notice to you terminating such license(s).

\r\n\r\n

35. Termination. PATH may terminate\r\nthese TAPP Programs Terms of Service at any time and for any reason. Additionally,\r\nEntities herein acknowledge and agree that PATH may terminate the\r\nEntity’s participation in TAPP Programs at any time, and without cause. If you\r\ncancel your TAPP Payment Method or if your TAPP Program Account is terminated\r\npursuant to these terms, you will remain responsible for any and all fares,\r\nfees, or other charges that are due or become due on your TAPP Program Account.\r\nUpon\r\nsuch termination, your use of TAPP Programs may be blocked.

\r\n\r\n

36. \r\nEntire\r\nAgreement; Precedence.

\r\n\r\n

a. The TAPP Programs\r\nTerms of Service must be read in conjunction with the TAPP Terms of Service and\r\nTAPP Privacy Policy, which are incorporated herein. By using TAPP Programs, you\r\nconsent to PATH’s TAPP Terms of Service and the privacy practices as set out in\r\nthe TAPP Privacy Policy. These TAPP Programs Terms of Service supersede any\r\nprior agreements, communications, representations, or understandings between\r\nyou and PATH, including, without limitation, any prior versions of the TAPP\r\nPrograms Terms of Service. These TAPP Programs Terms of Service, the TAPP Terms\r\nof Service, and the TAPP Privacy Policy constitute the entire agreement between\r\nyou and PATH and govern your use of TAPP Programs.

\r\n\r\n

b. To the extent these\r\nTAPP Programs Terms of Service conflict with the terms of the TAPP Privacy\r\nPolicy, the terms of the TAPP Privacy Policy shall control; to the extent these\r\nTAPP Programs Terms of Service conflict with the terms of the TAPP Terms of\r\nService, the terms of the TAPP Programs Terms of Service shall control.
